Ghanshyam Patel is of counsel in the Chicago office of Quintairos, Prieto, Wood & Boyer, P.A. As a transactions attorney he focuses his practice on the representation of healthcare, pharmacology (Pharma), biotechnology (Biotech), educational technology (EdTech), school districts, technology, and software companies.
Healthcare
Mr. Patel provides legal support to clients including pharma companies, biotech companies, and hospitals to find innovative and regulatory-compliant business solutions in the constantly changing healthcare industry. Mr. Patel assists his healthcare clients in developing legal strategy aligned with business initiatives and advises leadership on legal considerations around strategic business decisions. He also works closely with clients to advise and ensure internal teams receive practical and timely legal advice on privacy matters that impact the health care world globally. Primarily, Mr. Patel drafts, reviews, and negotiates a high volume of healthcare agreements for his clients.
Mr. Patel has acquired extensive experience from some of the largest pharma companies (including AbbVie and Astellas) and has negotiated with some of the largest hospitals and insurance groups in the country. He has reviewed, negotiated, and drafted a wide range of commercial contracts including master services agreements and work orders, clinical trial agreements, research agreements, manufacturing agreements, quality control agreements, purchase agreements, professional services agreements, statements of work, amendments, renewals, SaaS agreements, procurement agreements, non-disclosure agreements, data licenses, software license agreements, data processing agreements, and various other agreements.

Mr. Patel supports his client through the full corporate life cycle, from startups to leading public companies, including advising on strategic transactions to help companies get connected with large school districts.
The legal intersection between intellectual property, education law, privacy and data protection laws have created a great need for highly specialized EdTech legal practitioners. Mr. Patel thoroughly understands the highly specialized and regulated sector of the education industry. Mr. Patel brings extensive experience from one of the largest school districts in the country where he helped the district onboard a significant number of EdTech products. Mr. Patel's experience includes serving as outside counsel for the Board of Education for the City of Chicago where he handled all EdTech matters, software and technology matters, and healthcare related matters. Additionally, Mr. Patel helped the district develop and implement its Student Online Personal Protection Act (SOPPA) policy. He has negotiated a broad range of public contracts and solicitations supporting supply contracts, financing, and procurement documents.
General Transactions Practice
Mr. Patel prepares and negotiates commercial agreements, operating agreements, shareholder agreements and share certificates, purchase agreements, employment contracts, confidentiality agreements, non-compete agreements, and various other commercial business transactions. He also handles employment law, tax matters, mergers, equipment purchasing, distribution and logistics, and general business planning.
Previously, Mr. Patel served as managing partner of The Law Office of Patel & Associates in Chicago where he focused on business law, education law, and contracts law. Mr. Patel was also a part of the Global Privacy team at one of the largest pharmaceutical companies where he helped with GDPR and Children's Online Privacy Protection Act (COPPA) compliance.
Mr. Patel received his Juris Doctor from The John Marshall Law School, Chicago, Illinois in 2013 and a Bachelor of Arts in International Business and Economics from Benedictine University, Lisle, Illinois in May 2010.
Mr. Patel is licensed to practice law in Illinois. He is also a member of the Illinois State Bar Association and American Bar Association.
