Mark E. Clouser is a partner in the Los Angeles office of Quintairos Prieto Wood Boyer, P.A. Mr. Clouser serves as co-Chair of the Sports & Entertainment Law Group and the Business Transactions, Mergers & Acquisitions Law Group and the Construction Transactional Division. Mr. Clouser's current practice areas include business and commercial law, general litigation, sports and entertainment law, mergers and acquisitions, private equity and venture capital, trusts and estate planning, corporate law, real estate transactions, and intellectual property.

Mark has been handling contract negotiations for professional athletes as an agent, and lawyer for prominent sports figures and entertainers; he has also litigated numerous matters for corporations and individuals; and worked as corporate legal counsel for Fortune 500 insurance companies providing advice and counsel to senior leadership on compliance, litigation, coverage, bad faith, product and underwriting, and privacy matters. 

Mark is a seasoned litigator, trusted advisor to professional athletes and entertainers, and experienced corporate counsel who understands the regulatory, compliance, and litigation business risks facing small and large companies in their formation, acquisitions, and operations. 

Mr. Clouser received his Juris Doctor from Southwestern University School of Law in Los Angeles and a Bachelor of Arts degree in Business Administration from The College of William & Mary in Williamsburg, Virginia. He received the Mayor Tom Bradley Academic Scholarship while in law school and was an Editor of the Law Review. 

Mr. Clouser is licensed to practice law in California and Pennsylvania. He holds the professional designations of Chartered Property and Casualty Underwriter (CPCU); Associate in Regulation and Compliance (ARC) and Certified International Privacy Professional (CIPP); and has been an agent in the National Football League, Major League Baseball, and National Basketball Association. 

Representative Experience 

  • Counsel for roofing company in large business transaction involving sale of assets. 
  • Counsel for importer of goods in the acquisition of a floral wholesaler and retailer companies. 
  • Involved in other mergers and acquisitions in health care and insurance industries. 
  • Has negotiated numerous professional sports contracts including record breaking contracts with the New York Jets and Jacksonville Jaguars on behalf of client, Kyle Brady that was recognized in The Wall Street Journal as one of the Year's Top Sports Agent in NFL contract negotiations. 
  • Has created numerous for profit and charitable corporate entities and served as general counsel for those entities providing business and legal advice on formation, governance, acquisitions, litigation, contract negotiation, and business risk assessments. 
  • Has been lead trial attorney on suits where he secured successful verdicts for his clients in matters involving international commercial litigation, probate matters involving enforcement of real estate contracts, and administrative matters before the Tax Claims Bureau which was ultimately affirmed on appeal before the Pennsylvania Court of Appeals. 
  • Negotiate and draft marketing, endorsement, and media contracts on behalf of celebrity clients. 
  • General counsel for The Bridge Eco-Village, a real estate development company that acquires blighted properties like schools and malls and converts them to fully sustainable and self-contained mixed-use "Eco-Villages" with housing, commercial/retail space, co-working, urban agriculture, innovation/education center and entertainment. 
  • Counsel for private companies in equity and debt offerings, including a Security Token Offering through blockchain technology on behalf of a real estate company. 
  • Counsel professional athletes and entertainers on negotiating Non-Fungible Token agreements with talent management companies. 
  • Counsel amateur athletes and talent management companies relating to Name, Image, and Likeness (NIL) regulations. 
  • General counsel for Empower at the Bridge Foundation, a non-profit company whose mission is to provide opportunities and improve quality of life for the underprivileged and underserved and those suffering from systemic oppression.
